Terms of Service & Legal Disclaimer

Proprly Smart Facility & Community Management Platform

Last Updated: October 2026 | Effective Version: 2.0

1. Acceptance of Terms

By accessing or using the Proprly platform ("Service"), you agree to be bound by these Terms of Service. If you are registering on behalf of a residential society, apartment association, or corporate entity, you warrant that you possess the legal authority to bind that entity to these terms.

2. "As-Is" and "As-Available" Disclaimer

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not guarantee that the platform will operate entirely free of software bugs, temporary hosting interruptions, or unforeseen technical vulnerabilities.

3. Limitation of Liability & Financial Cap

To the maximum extent permitted by applicable Indian law, Proprly, its founders, developers, and hosting partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data corruption, business interruption, or intangible losses resulting from:

  • Your access to or use of (or inability to access or use) the platform.
  • Any unauthorized access to, alteration of, or deletion of your database records, notices, or communications.
  • Actions, statements, or incorrect data inputs executed by third parties, society administrators, or residents.

Maximum Financial Cap: In no event shall Proprly’s total cumulative liability to any society, administrator, or resident for all claims exceed the total subscription fees actually paid by that specific society to Proprly in the twelve (12) months preceding the claim (or ₹5,000 INR, whichever is lower).

4. Data Privacy & Society Responsibilities

Societies and their appointed managing committees are solely responsible for ensuring that resident data (such as names, phone numbers, flat configurations, and visitor records) uploaded to Proprly complies with applicable data privacy regulations, including India's Digital Personal Data Protection (DPDP) Act. Societies must secure explicit consent from residents prior to inputting personal details into the portal.

5. Service Disruptions & Backups

While regular automated database backups are maintained via enterprise hosting infrastructure, Proprly is not liable for data loss resulting from third-party server provider outages (Hostinger), cyberattacks, force majeure events, or user operational errors.

6. Account Termination & Data Export

Proprly reserves the right to suspend or terminate society subscriptions in cases of non-payment, breach of acceptable use policies, or security risks. Upon formal contract termination or non-renewal, societies may request a complete CSV/SQL data export bundle within thirty (30) days, following which data is securely purged in accordance with our Privacy Policy retention schedules.
